General terms of service:

  1. Definitions
    1. Client – Any person or entity which enters into an agreement to receive a service from the Company.
    2. Company – Enspire Science Ltd. PC 515716082 of 10 HaArba’a St. Tel Aviv, Israel, and or any of its UK subsidiaries or affiliates.
    3. Service – Any service for which the Company has issued a Work Order, as defined below.
    4. Terms of Service – This Terms of Service document, as may be amended by the Company from time to time.
    5. Work Order (“WO”) – A form of ordering a Service from the Company, either in the form of a document issued by the Company and signed by the Client; and/or a web form filled by the Client and approved by the Company; and/or any other document issued by the Company and signed by the Client.
  2. Primacy of agreements
    1. These Terms of Service shall govern the execution of any service provided by the Company to the Client.
    2. In the event of any conflict between the Terms of Service and the Work Order, the terms of the Work Order shall prevail as between the Client and the Company.
  3. Confidentiality
    1. “Confidential Information” – any information disclosed by the Company or the Client, regarding research, technology, existing or future products, customers, business plans, financial information, training methods, presentations and other proprietary or confidential information, which is marked or otherwise identified as confidential or proprietary at or near the time of disclosure.
    2. The Company hereby warrants to the Client that it shall maintain the confidentiality of all Confidential Information disclosed to it by the Client for a period of 10 years from disclosure.
    3. Disclosure of Client Confidential Information to 3rd parties, as part of the Service, shall be made in coordination with the Client.
    4. In the case of consulting services involving proposal development and/or submission of a proposal to the funding agency – The Client hereby agrees that Client Confidential Information will be incorporated into the proposal submitted for the project ordered in the Work Order.
  4. Company proprietary information
    1. The Client acknowledges and agrees that it will have access to confidential and proprietary information and knowledge, including content, methods and activities, developed and owned by the Company and that such information, whether documentary, written, oral or computer-generated, shall be deemed to be referred to as “Proprietary Information”.
    2. Proprietary Information shall be deemed to include any and all proprietary information disclosed by or on behalf of the Company and irrespective of form, but excluding information that the Client can establish by competent documentary evidence: (i) was known to the Client prior to receipt of the Service; (ii) shall have become a part of the public knowledge except as a result of a breach of this these Terms of Service by the Client.
    3. The Client agrees and declares that all Proprietary Information shall be the sole property of the Company. The Client will not use or disclose any Proprietary Information to Third Parties.
  5. Data collection and processing
    1. Data collection and processing is compliant with the General Data Protection Regulation (GDPR). Any information provided to the Company is subject to the Company’s privacy policy, as presented in this webpage: https://enspire.science/privacy-policy/
  6. Invoicing and payment
    1. Payment by bank transfer to be done within 14 days from receipt of an invoice from the Company.
    2. Payments by Credit Cards to be done immediately upon request.
    3. No Transaction fees: Any payment to the Company must be free of any transaction costs or fees associated with the payment via bank transfer or similar.
  7. VAT
    1. Value Added Tax shall NOT be payable on any payment made by the Client, to the Company or its UK affiliates, provided that the Clients are neither Israeli nor UK entities, or the Service is provided outside of the territory of Israel or the UK.
  8. Limitation of liability
    1. In no event shall the Company’s total obligation and liability, under any claim for any causes of action pursuant to these Terms of Service or Work Order, exceed the payments made by the Client to the Company for the service that gave rise to the action or claim, and if no such services are so applicable then the Company’s liability shall not exceed the amounts paid by the Client to the Company hereunder during the three (3) months preceding the event. The Company shall not be liable to the Client, or to any third parties for indirect, special, punitive or consequential, collateral or incidental damages, including, without limitation, loss of funding opportunities, any damage or injury to business earnings, lost profits or goodwill suffered by any person arising from and/or related to a service, even if the Company is advised of the possibility of such damages.
  9. Governing law and jurisdiction
    1. The Terms of Service and any Service provided in accordance with them shall be governed and construed in accordance with the laws of Israel excluding any conflict-of-laws rule or principle that might refer the governance, construction or interpretation of this Agreement to the laws of another State. The courts in Tel Aviv, Israel will have exclusive subject matter jurisdiction to adjudicate any disputes relating to these Terms of Service or any Service provided.
  10. Availability
    1. All services are subject to the Company’s availability. Specific timelines and deadline policies for our consulting services are detailed in the following webpage: https://enspire.science/individual-services-timeline-deadline-policies/
    2. In the case of a call with very high demand, we typically become fully booked earlier than the dates mentioned in our policy.
  11. Service booking
    1. Once a Work Order for consulting services (i.e. services B, C, D and E, see “Specific Service Terms” Below) is executed by the Client: (a) the Company shall reserve time and resources for the specific Service; and (b) the Client will book the review time, in accordance with the Company’s instructions and subject to relevant availability at the time of booking.
    2. The exact date for reviewing a specific proposal is determined based on our availability and in accordance with our timeline & deadline policy: https://enspire.science/individual-services-timeline-deadline-policies/
    3. For services B and C: Booking will be done through the Company’s online booking system. We will not accept reviews without booking, so you must secure an available slot in our system to guarantee the review service. For that matter, we will grant access to the booking system after a Work Order is signed.
    4. For services D and E: Once the Work Order for this service is signed, we will contact the PI to book a date for sending us the application for review. This is a mandatory step and we will not accept reviews without booking an available slot.
    5. Delays in sending us the documents to review may affect our response time.
    6. Terms of booking for each of our consulting services are detailed under “Specific Service Terms” below.
  12. Reviewing services
    1. The Company reserves the right to employ external reviewing services for the purpose of delivering our services.
  13. Cancellation / postponement
    1. A cancellation or postponement notice may incur a cancellation fee. Cancellation / postponement policies are detailed per service under “Specific Service Terms”.

Specific Service Terms:

 

The following terms apply to each specific service in addition to the general terms detailed above.

A. “Go/No-Go” services 

    1. The “Go/No-Go” service is provided once per applicant.
    2. We will process “Go/No-Go” requests as soon as possible, and subject to the Company’s overall availability (Article 10 above).
    3. For the following grants: ERC, Horizon Europe Collaborative Projects, MSCA-PF, MSCA-DN, EIC Accelerator, EIC Pathfinder, EIC Transition – The “Go/No-Go” request must be submitted through a corresponding online form. We will not accept any documents as a substitute or addition to the online form.
    4. For all other grants – The “Go/No-Go” request should include a project proposal summary of up to 2 A4 pages.
    5. The Company reserves the right to cancel this service at any time.

B. Standard review service for ERC applications

    1. Secure the service by completing the following steps:
      1. Sign a Work Order for this service up to 2 months before the corresponding deadline.
      2. Book a date for the Standard review using the Company’s booking system (Article 11 above). This is a mandatory step for securing the service and must be done after signing the Work Order. By this date, all proposal documents should arrive at the Company’s office for review.
    2. Review policy:
      1. The ERC standard review includes a single review cycle on advanced / near-final versions of all proposal documents: B1, B2, resources description (section c, limited to 8000 characters) and the requested budget breakdown. Our feedback report will not refer to any other documents.
      2. The review will start once we receive the draft for review at the review date (see Article B.1.b), as scheduled by the Client in our booking system. We will produce our detailed feedback report within a range of 14 working days following the booked review date, given that we have received all the relevant documents on the booked review date.
        1. In case the draft arrives for review earlier than the scheduled review date, we will do our best to review it as soon as possible, but we do not guarantee that. By default, the draft will be reviewed starting on the scheduled review date.
        2. In case the draft arrives for review later than the scheduled review date, we will do our best to review it as soon as possible within 14 working days, but we do not guarantee that.
      3. The feedback provided refers only to documents we received on the booked review date and cannot be regarded as addressing other documents which we did not receive on time or at all.
      4. Following the feedback report, the Client is invited to have a single Q&A session regarding our feedback report.
      5. The Standard Review feedback will address conceptual and technical aspects as described on our website. The Standard Review feedback does not address the following items, which are part of the “Deep Dive Review service for ERC applications”:
        • Extensive and interactive review of the scientific idea
        • Discussions about the concept and ERC presentation strategy
        • Discussions about the ERC Peer Review Panel selection
        • Ethical considerations and structuring the ethics self-assessment text
        • Handling or monitoring the electronic submission system for the applicant
        • Quality assurance procedures
        • Proofreading
    3. Cancellation / postponement policy: A cancellation or postponement notice received 2 months or less prior to the respective deadline, shall incur a 100% cancellation fee. Cancellation or postponement notice received more than 2 months prior to the respective deadline, shall incur a 50% cancellation fee.

C. Deep Dive review service for ERC applications 

    1. Secure the service by completing the following steps:
      1. Sign a Work Order for this service up to 2 months before the corresponding deadline.
      2. Book a date for sending us the first draft using the Company’s booking system (Article 11 above). This is a mandatory step for securing the service and must be done after signing the Work Order. By this date, the first draft of either B1 or B2 of the application, according to the applicant’s preference, should arrive at the Company’s office for review.
    2. Complete the preliminary evaluation online form: A preliminary evaluation is a mandatory phase at the beginning of the Deep Dive review. The PI will be asked to complete an online form with information on their CV, track record and project idea. Our feedback will be qualitative and constructive, based on our experience, and will serve as the basis for our work together. This step should be completed as soon as possible, and no later than two weeks prior to the booked date for sending us the first draft (see C.1.b).
    3. Timeline policy: The Company has a dedicated timeline policy for the ERC Deep Dive service, in order to facilitate a productive proposal development process for the benefit of the applicants. The service will be provided in dedicated time-frames, as specified in our timeline & deadline policies page. In addition, we have set the following milestones and timing for the review process:
      1. Begin the review process by sending us the first draft of the first document only (either B1 or B2) on the booked date (see Article C.1.b).
      2. Up to 30 days before the ERC deadline – The first draft of the 2nd document (B1 or B2, respectively) should be sent to us for review.
      3. Up to 21 days before the ERC deadline – All relevant technical information associated with the submission process should be sent to us for review. This includes the provision of the host support letter, budget and resources, ethics self-assessment (if applicable), annexes, granting access to the electronic system or sending us a printout of the electronic forms, etc.
      4. Up to 14 days before the ERC deadline – Final versions of B1 and B2 should be sent to us for final technical review. We will not be able to accept additional versions of these documents for in-depth review after this date.
      5. Up to 7 days before the ERC deadline – Full application files should be sent to us for running final quality assurance (QA) procedures. 
    4. ** The timeline and milestones may be subject to changes for specific ERC deadlines. The Company will notify applicants accordingly. 
    5. Cancellation / postponement policy: A cancellation or postponement notice received more than 3 months prior to the respective deadline, shall incur a 25% cancellation fee. A cancellation or postponement notice received between 2 to 3 months prior to the respective deadline, shall incur a 50% cancellation fee. A cancellation or postponement notice received 2 months or less prior to the respective deadline, shall incur a 100% cancellation fee.

D. Standard review service for all grant applications, excluding ERC

    1. Secure the service by completing the following steps:
      1. Sign a Work Order for this service up to 2 months before the corresponding deadline.
      2. Book a date for the Standard review (Article 11 above). This is a mandatory step for securing the service and must be done after signing the Work Order. By this date, all proposal documents should arrive at the Company’s office for review.
    2. Review policy:
      1. The Standard Review includes a single review cycle on an advanced / near-final full draft of all proposal documents.
      2. The review will start once we receive the draft for review at the review date (see Article D.1.b), as scheduled with the client when booking the service. We will produce our detailed feedback report within a range of 14 working days, given that we received all the relevant documents on time.
        1. In case the draft for review is received earlier than the scheduled review date, we will do our best to review it as soon as possible, but we do not guarantee that. By default, the draft will be reviewed starting on the scheduled review date.
        2. In case the draft for review is received later than the scheduled review date, we will do our best to review it as soon as possible within 14 working days, but we do not guarantee that.
      3. The feedback provided refers only to documents we received on the selected review date, and cannot be regarded as addressing other documents which we did not receive on time or at all.
      4. Following the feedback report, the Client is invited to have a single Q&A session regarding our feedback report.
      5. The Standard Review feedback will address conceptual and technical aspects as described on our website. The feedback will not address the following items, which are part of the “Deep Dive Review service”:
        • Provision of “gold-standard” templates
        • Assisting with consortium formation and partner negotiation
        • Editing and reviewing the application
        • Devising dissemination plans and communication strategies
        • Suggesting structures and implementation methods for the technical project management aspects
        • Review and editing of the ethical issues concerned with the application and structuring the ethical self-assessment text
        • Budget planning
        • Handling administration with the consortium up to and including the successful submission of the proposal
        • Handling and monitoring the electronic submission system
        • Quality assurance procedures
        • Proofreading of the proposal
        • Any other grant-specific aspects covered in our “Deep Dive review service”, as described on our website.
    3. Cancellation / postponement policy: A cancellation or postponement notice received 2 months or less prior to the respective deadline, shall incur a 100% cancellation fee. Cancellation or postponement notice received more than 2 months prior to the respective deadline, shall incur a 50% cancellation fee.

E. Deep Dive review service for all grant applications, excluding ERC

    1. Secure the service by completing the following steps:
      1. Sign a Work Order for this service up to 2 months before the corresponding deadline.
      2. Book a date for beginning the Deep Dive review process (Article 11 above). This is a mandatory step for securing the service and must be done after signing the Work Order. By this date, a preliminary project summary/abstract should arrive at the Company’s office for review.
    2. Complete a “Go/No-Go” review form: The “Go/No-Go” review is a mandatory phase at the beginning of the Deep Dive review. It can be done before or after committing to the Deep Dive review. As the outcome of this review can be, in some cases, “No-Go”, the Company urges applicants to do this before committing to the Deep Dive review. In the case of a “No-Go” answer, the Deep Dive service can be cancelled without any fees, within 7 working days after receiving the “No-Go” answer, and no later than 2 months before the corresponding deadline. In any other case, the secured service will remain in force.
    3. Timeline policy: The Company has a dedicated timeline policy for the Deep Dive service, in order to facilitate a productive proposal development process for the benefit of the applicants. The service will be provided in dedicated time-frames, as specified in our timeline & deadline policies page. In addition, we have set the following milestones and timing for the process:
      1. Begin the review process by sending us a preliminary project summary/abstract on the booked date (see Article E.1.b).
      2. Up to 45 days before the deadline – The first draft of the application should arrive in the Company’s office for review.
      3. Up to 30 days before the deadline – All participants have logged on to the system and filled in their administrative details.
      4. Up to 14 days before the deadline – Final versions of all application documents should arrive at the Company’s office for final review. We will not be able to accept additional versions of the application documents for in-depth review after this date.
      5. Up to 10 days before the deadline – Clearance of any relevant technical information associated with the submission process (online forms, final budget, ethics self-assessment, annexes, etc.).
      6. Up to 7 days before the deadline – Full application files for running final quality assurance (QA) procedures should arrive in the Company’s office.
    4. Cancellation / postponement policy: A cancellation or postponement notice received 2 months or less prior to the respective deadline, shall incur a 100% cancellation fee. Cancellation or postponement notice received more than 2 months prior to the respective deadline, shall incur a 50% cancellation fee.

F. Personalized ERC interview preparation service

    1. Participation policy:
      1. The service includes:
        1. Access to the “ERC Interview Online Course”
        2. 3 remote individual training sessions: Strategic planning, 1st rehearsal and 2nd rehearsal.
        3. The sessions are customized to each specific PI’s / Synergy group’s ERC application, and in the case of the individual ERC categories (StG, CoG, AdG), also to the review panel(s).
        4. Ongoing feedback and support via email.
      2. All individual training sessions are done remotely over video conferencing. Each session is limited to 90 minutes.
    2. Timeline policy: The timeframe for each of the 3 individual sessions is specified in our timeline & deadline policies page. The meetings will be scheduled only within the available timeframes and subject to our overall availability.
    3. This service includes access to the “ERC Interview Online Course” service. The relevant terms as specified under “I. Online courses for single participants” apply.
    4. Cancellation / postponement policy: A cancellation or postponement notice received before accessing the “ERC Interview Online Course” or any subsequent session, will not incur any cancellation fees. Cancellation or postponement notice received in any other later stage, shall incur a 100% cancellation fee.

G. Horizon Europe Screening for companies

    1. Service fees include a single Horizon Europe topic search for companies, and one detailed report discussing our findings regarding current funding opportunities for the company.
    2. Cancellation / postponement policy: A cancellation or postponement notice received within 24 hours of purchasing this service, will not incur any cancellation fees. Cancellation or postponement notice received more than 24 hours after purchasing this service, shall incur a 100% cancellation fee.

H. Courses for closed groups

    1. Participation policy: Service fees include course participation for researchers, research managers and in-house funding advisors only, coming from the same organisation. The number of participants per group is limited.
    2. Registration to the course: All group participants will be required to fill in an online registration form prior to the course. A link to the sign-up form, as well as a link for viewing the list of all registered participants, will be sent to the organizer. Due to GDPR regulations and our privacy and copyrights policies, we will not allow the participation of individuals who did not fill in the registration form.
    3. Timeline policy: The online course must be secured by signing a Work Order for this service at least 4 weeks before the course begins.
    4. Course formats: Our courses are available in three formats for closed groups, centrally booked by the organiser. Not all formats are available for all courses.
      1. Format I: Pre-recorded online course for closed groups: In this format, participants receive access to our pre-recorded video training for a limited period of 14 days. Some courses include a live online Q&A session, which will be up to 90 minutes long.
      2. Format II: Live online course for closed groups: In this format, the course is provided by our team through an online conferencing system. During the session, participants will have the opportunity to ask questions and discuss the materials with our team.
      3. Format III: On-site course for groups: In this format, the course will be provided on-premises, at a location provided by the organiser.
    5. Q&A session policy (applicable to Format I only): To allow a meaningful live session, watching the online course is a mandatory prerequisite to joining the live Q&A session, which is complementary to the pre-recorded online course. Only some of the courses include a live Q&A session.
    6. Copyright: The content of our courses is the intellectual property of Enspire Science Ltd. and should not be copied nor distributed without prior consent.
    7. Cancellation / postponement policy: Cancellation or postponement notice received 6 weeks or less, prior to the course opening date, shall incur a 100% cancellation fee. Cancellation or postponement notice received more than 6 weeks, prior to the online course opening date, shall incur a 50% cancellation fee.

I. Courses for single participants

    1. Course formats: Our courses for single participants are available in three formats. Not all formats are available for all courses.
      1. Format I: Pre-recorded online course for single participants: In this format, participants receive access to our pre-recorded video training for a limited period of 21 days, starting when payment is confirmed (either by credit card payment or a signed work order). This format does not include a live interactive session with our team.
      2. Format II: Live online course for single participants: In this format, the course is provided by our team through an online conferencing system. During the session, participants will have the opportunity to ask questions and discuss the material with our team. The Company will announce upcoming course dates from time to time.
      3. Format III: Open workshop for single participants: In this format, the course will be provided at changing locations selected by the Company from time to time. The Company will announce upcoming dates and locations periodically.
    2. Specific terms for Format I:
      1. For all courses provided by the Company, excluding the “ERC Interview Online Course”: Participation fees include access to the selected online course/s for a limited time period of 21 days, starting when payment is confirmed (either by credit card payment or a signed work order)
      2. For the “ERC interview online course” only: Participation fees include access to the online course for a limited time. Access to the course will expire after the interview date.
      3. Access to the course will be provided only once payment has been finalized, or a Work Order has been signed by the host institution.
      4. Access to the course is personal, and cannot be transferred.
      5. Cancellation / postponement policy: A cancellation or postponement notice received after accessing the course online materials (including videos) shall incur a 100% cancellation fee. Cancellation or postponement notice received before accessing the course online materials (including videos), shall incur a 50% cancellation fee.
    3. Specific terms for Formats II and III:
      1. We reserve the right to cancel the course in case of insufficient participants or unforeseen circumstances. In this event, we will fully refund you.
      2. Participation policy: Participation fees cover training for a single participant in the selected event, taking place on the specified date and time. Note that a recording of the event will not be made available. Participation fees do not cover travel expenses, lunch, and accommodation (applicable to Format III).
      3. Access to the presentation slides will be available for a period of 30 days after the course ends.
      4. Cancellation / postponement policy: Cancellation or postponement notice received 3 weeks or less, prior to the online course opening date, shall incur a 100% cancellation fee. Cancellation or postponement notice received more than 3 weeks, prior to the online course opening date, shall incur a 50% cancellation fee.
    4. Copyright: The content of our courses is the intellectual property of Enspire Science Ltd. and should not be copied nor distributed without prior consent.
